This website and online store are operated by Yoru Syndicate LLC (“Yoru Syndicate,” “we,” “us,” or “our”).

Yoru Syndicate provides this website, including all information, content, features, tools, products, and services available through it (collectively, the “Services”), to you subject to these Terms of Service (“Terms”).

Our online store is hosted and supported by Shopify, which provides the e-commerce platform that allows us to offer and sell our products.

By accessing, browsing, interacting with, or purchasing through the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you should not use the Services.

These Terms contain important information concerning your legal rights, including limitations of liability and warranty disclaimers.

Section 1 — Eligibility and Account Information

By using the Services, you represent that you are at least the age of majority in your state of residence or that you are using the Services with the consent and supervision of a parent or legal guardian.

When using the Services or placing an order, you may be required to provide information including your name, email address, billing information, payment information, and shipping address.

You represent that all information you provide is accurate, current, and complete.

If you create an account, you are responsible for maintaining the security of your login credentials and for activity conducted through your account.

You may not sell, transfer, assign, or otherwise provide your account to another person without our authorization.

Section 2 — Products

We make reasonable efforts to accurately display and describe our products.

However, colors, proportions, placement of artwork, and other visual details may appear differently depending on your screen, device settings, manufacturing process, garment size, or product variation.

Many Yoru Syndicate products are produced or printed after an order is placed. Minor variations in print placement, color, sizing, materials, or appearance may occur and do not necessarily constitute a defect.

Product images, mockups, photographs, and digital representations are provided for illustrative purposes and may not perfectly represent the physical product.

Product descriptions, designs, availability, specifications, and pricing may be changed at any time without notice.

We reserve the right to discontinue products, designs, collections, or product variations at any time.

We may also limit product quantities or sales to particular customers, geographic locations, or jurisdictions.

Section 3 — Orders

Submitting an order constitutes an offer to purchase products from Yoru Syndicate.

An order is not considered accepted until payment has been successfully processed and we or our fulfillment provider have accepted the order for fulfillment.

We reserve the right to refuse, cancel, or limit an order for legitimate business reasons, including suspected fraud, pricing errors, product availability issues, payment problems, or violations of these Terms.

If we cancel an order after payment has been received, the applicable amount will be refunded.

Please review your order carefully before submitting it.

Because many of our products are produced specifically for each order, changes or cancellations may not be possible after an order has entered production.

If you notice an error after placing an order, contact us immediately at yorusyndicate@gmail.com. We will attempt to assist, but we cannot guarantee that an order can be modified or canceled once fulfillment has begun.

Purchases are subject to our Return & Refund Policy, which is incorporated into these Terms by reference.

Section 4 — Sizing and Customer Selection

Customers are responsible for reviewing product descriptions, sizing charts, colors, styles, and other available product information before ordering.

Because many products are produced specifically for each order, we do not accept returns or exchanges because a customer selected the wrong size, color, style, or other product option, or because the customer changed their mind after purchase.

Sizing may vary between manufacturers and product styles. Customers should refer to the sizing information provided for the specific product being purchased rather than assuming all Yoru Syndicate products fit identically.

Our Return & Refund Policy contains additional information regarding damaged, defective, misprinted, or incorrectly fulfilled products.

Section 5 — Pricing, Taxes, and Payment

All prices are displayed in U.S. dollars unless otherwise stated.

Prices, promotions, discounts, and product availability may change without notice.

The price charged will generally be the price displayed at the time the order is submitted.

Unless specifically stated otherwise, displayed product prices do not include applicable sales tax or shipping charges. Applicable charges will be calculated and displayed during checkout.

You agree to provide accurate and complete payment and billing information.

By submitting payment information, you represent that:

You are authorized to use the selected payment method.
The information provided is accurate.
You authorize Yoru Syndicate and its payment processors to charge the applicable purchase amount.
You are responsible for applicable taxes, shipping charges, and other charges disclosed at checkout.

We reserve the right to correct pricing errors. If an error materially affects an order that has already been submitted, we may contact you to provide the option of accepting the corrected price or canceling the affected order.

Section 6 — Shipping and Delivery

Shipping and delivery dates are estimates and are not guaranteed unless expressly stated otherwise.

Products may be manufactured, packaged, or shipped by third-party fulfillment providers.

We are not responsible for delays caused by shipping carriers, severe weather, natural disasters, labor disruptions, incorrect customer-provided addresses, fulfillment interruptions, or other circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate shipping address.

If an order is returned, lost, or otherwise affected because an incorrect or incomplete address was provided by the customer, additional shipping or replacement charges may apply.

Risk of loss transfers in accordance with applicable law.

If tracking information shows an order as delivered but you cannot locate the package, contact the applicable shipping carrier and then contact us if further assistance is needed.

Section 7 — Returns, Refunds, and Fulfillment Issues

Returns, replacements, and refunds are governed by our Return & Refund Policy.

Generally, we may provide assistance when an item is:

Damaged during fulfillment or delivery
Defective
Misprinted
Incorrectly fulfilled
Different from the item ordered due to a fulfillment error

We generally do not provide returns or exchanges for customer sizing mistakes, incorrect customer selections, change of mind, or other customer ordering errors.

Customers may be required to provide photographs or other reasonable documentation so that we can evaluate damaged, defective, or incorrectly fulfilled products.

Nothing in these Terms limits any rights that cannot legally be waived under applicable consumer-protection laws.

Section 8 — Intellectual Property

The Services and their content, including without limitation Yoru Syndicate branding, names, logos, graphics, artwork, designs, product graphics, photographs, videos, text, layouts, slogans, and other materials, are owned by or licensed to Yoru Syndicate LLC and are protected by applicable intellectual-property laws.

The Services are provided for your personal, non-commercial use.

Unless we provide prior written authorization, you may not:

Reproduce our artwork or designs
Copy or distribute our product graphics
Sell products using our intellectual property
Modify or create derivative works from our designs
Republish, commercially exploit, or distribute website content
Use Yoru Syndicate trademarks, logos, or branding in a manner that suggests authorization, sponsorship, or affiliation

No rights in Yoru Syndicate intellectual property are transferred to you through the purchase of a product.

Purchasing merchandise containing an artwork or design does not grant any right to reproduce or commercially use that artwork or design.

All third-party trademarks and intellectual property appearing through the Services remain the property of their respective owners.

Section 9 — Third-Party Services and Tools

The Services may provide access to third-party applications, payment processors, fulfillment providers, integrations, websites, or other services.

We may not control these third-party services.

Your use of third-party services may be governed by separate terms and privacy policies provided by those parties.

To the extent permitted by law, Yoru Syndicate is not responsible for losses or damages caused solely by a third-party service that is outside our reasonable control.

Section 10 — Third-Party Links

The Services may contain links to third-party websites or resources.

We do not necessarily endorse or control the content, products, practices, or policies of third-party websites.

If you access a third-party website, you do so at your own discretion.

Transactions entered into directly with third parties are governed by the terms and policies of those third parties.

Section 11 — Relationship With Shopify

Yoru Syndicate is powered by Shopify, which enables us to provide the Services to you.

However, purchases made through our store are transactions directly between you and Yoru Syndicate LLC.

Shopify is not the seller of Yoru Syndicate products and is not responsible for the products you purchase from us or for claims arising directly from those products or transactions, except to the extent otherwise required by law.

Section 12 — Privacy

Personal information collected through the Services is handled according to our Privacy Policy.

Because our store is hosted by Shopify, Shopify and other service providers may process information necessary to operate the website, process orders, process payments, prevent fraud, provide customer functionality, and otherwise support the Services.

You should review our Privacy Policy for additional information regarding how personal information is collected, used, stored, or shared.

Shopify's own privacy practices may also apply to information it processes through its platform.

Section 13 — Reviews, Feedback, and User Content

If you submit reviews, photographs, comments, suggestions, feedback, or other content to us (“User Content”), you represent that you have the right to submit that content.

You grant Yoru Syndicate a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, adapt, and publish User Content for purposes related to operating, marketing, improving, and promoting Yoru Syndicate and its Services.

This may include displaying customer reviews or customer-submitted photographs on our website or social-media channels.

You may not submit content that:

Infringes another person's intellectual-property rights
Violates privacy or publicity rights
Contains unlawful, defamatory, threatening, or abusive material
Contains malware or harmful code
Misrepresents your identity or experience

We reserve the right, but have no obligation, to remove User Content that violates these Terms or applicable law.

Section 14 — Errors, Inaccuracies, and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions concerning product descriptions, prices, availability, promotions, shipping charges, or other information.

We reserve the right to correct errors, update information, or cancel affected orders when reasonably necessary.

We are not obligated to update or revise information except as required by law.

Termination does not eliminate obligations incurred before termination, including amounts owed for completed purchases.

Sections that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute-related provisions—will remain effective.

Section 17 — Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY YORU SYNDICATE OR WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED, WE DISCLAIM EXPRESS OR IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE WEBSITE OR SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

Some jurisdictions do not permit certain warranty limitations, so portions of this section may not apply to you.

Section 18 — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YORU SYNDICATE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

THIS MAY INCLUDE LOST PROFITS, LOST REVENUE, LOST DATA, OR OTHER CONSEQUENTIAL LOSSES.

Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law.

Section 19 — Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Yoru Syndicate LLC and its affiliates, members, officers, employees, agents, contractors, licensors, and service providers from third-party claims arising from:

Your material violation of these Terms
Your unlawful use of the Services
Your violation of another person's legal rights

This provision does not require you to indemnify Yoru Syndicate for claims caused solely by Yoru Syndicate's own unlawful conduct where indemnification is prohibited by law.

Section 20 — Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permitted or severed where necessary.

The remaining provisions will continue in full force and effect.

Section 21 — Waiver and Entire Agreement

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

These Terms, together with policies incorporated by reference, constitute the agreement between you and Yoru Syndicate concerning use of the Services and supersede prior agreements concerning the same subject matter.

Section 22 — Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale, restructuring, transfer of the business, or other lawful business transaction.

Section 23 — Governing Law

These Terms and your use of the Services will be governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable federal law controls.

To the extent a dispute may lawfully be required to be brought in a particular jurisdiction, the parties agree that jurisdiction and venue will lie in the appropriate state or federal courts located in Ohio.

Nothing in this section limits any consumer right that cannot legally be waived.
